THE CHALLENGE

Get in the Game! Help drive equity compensation plan administration at a leading electronic entertainment company. Generate and analyze data on restricted stock awards/units, stock vests, stock sales, and the Employee Stock Purchase Plan. Provide reports to HR, senior management, and Board of Directors’ Compensation Committee, Finance, Tax, Legal as requested. Partner with HR team on a variety of equity-related initiatives.

WHAT YOU’LL TAKE ON

  • Assist in administering the Company’s existing global equity compensation Stock Incentive Plan (Stock Options, RSUs & PSUs) as well as the Global Employee Stock Purchase Plan (ESPP).

  • Research trends to evaluate current plans and make recommendations on changes. Respond to managers’ and employees’ queries on their equity awards or about any equity program they participate in.

  • Manage new restricted stock unit grants, cancellations, and terminations, including electronic systems that enable such transactions. Work cross-functionally with other business groups and external transfer agent (AST) as it relates to equity programs. Ensure equity database (Fidelity Netbenefits) reflects the latest information.

  • Assist in managing the Company’s Global Employee Stock Purchase Plan

  • Generate and analyze HR reports on restricted stock awards/units, vests, stock sales, etc. Summarize and present data in concise formats (tables, charts, etc.).

  • Serve as principal liaison with HR, Finance, Tax, and Legal on all program matters.

  • In consultation with the HR leadership, assist with the communication and rollout of new or revised equity compensation programs globally.

  • Prepare executive and equity compensation analyses; evaluate market competitive positions using published data.

  • Provide consulting to HR partners on equity issues for newly hired and existing executives.

  • Manage the Board of Directors’ calendar of results to the Compensation Committee.

  • Coordinate Board compensation, including retainer, meeting fees, etc.

  • Assist employees with setting up 10b5-1 Plans

  • Assist the legal department with setting up and filing Rule 144 paperwork and Form 4s in a timely manner.

  • Compile data for Compensation Committee books, proxy, annual report; produce other documents, reports and materials for distribution to company directors and executives.

  • Assist with development of HRIS and/or intranet systems that facilitate management of equity programs.

  • Assist Finance team with preparing stock-related disclosures in 10Q/10K.

  • Assist Legal team with preparing annual proxy reporting.

  • Prepare various management and governmental reporting.

  • Assist with internal and external audits and investigations.

  • Performs other duties as assigned.

WHAT YOU BRING

  • Education and Experience: Bachelor’s degree in Business, Human Resources or related and at least 4 years of stock plan administration experience. Must include some experience administering executive equity compensation programs.

  • Experience in a global, public company a plus.

  • Excellent analytical and mathematical skills.

  • Handle multiple tasks and prioritize work daily

  • Outstanding written and verbal communication and interpersonal skills.

  • Solid understanding of core compensation concepts (base pay administration, job leveling, variable and equity compensation).

  • Knowledge of market pricing practices and exposure to performance management practices.

  • Creative problem solver and results-oriented problem-solver.

  • Diligent but able to see ‘the big picture’.

  • Ability to work calmly and flexibly to respond to multiple changing business priorities.

  • Familiarity with FAS 123(r), CD&A and tax implications of equity compensation.

  • Knowledge of stock plan administration software, preferably Fidelity Netbenefits.

  • Strong MS Office skills (Excel, Word, PowerPoint) and knowledge of HRIS, preferably Workday.

The pay range for this position in New York City at the start of employment is expected to be between $85,000 and $125,000 per Year. However, base pay offered is based on market location, and may vary further depending on individualized factors for job candidates, such as job-related knowledge, skills, experience, and other objective business considerations. Subject to those same considerations, the total compensation package for this position may also include other elements, including a bonus and/or equity awards, in addition to a full range of medical, financial, and/or other benefits. Details of participation in these benefit plans will be provided if an employee receives an offer of employment. If hired, employee will be in an 'at-will position' and the company reserves the right to modify base salary (as well as any other discretionary payment or compensation or benefit program) at any time, including for reasons related to individual performance, company or individual department/team performance, and market factors.
