Position Summary:
Critical legal role reporting to Vindex’s General Counsel and working to support the parent company and its subsidiaries. The position of Associate Counsel is a senior level role reporting to the General Counsel and working closely with executive management across the parent company and its subsidiaries. The Associate Counsel will be responsible for providing accurate, relevant, and timely advice to the General Counsel and other senior members of the company on a variety of legal topics.
Core responsibilities/Expectations
- Draft, negotiate and review a wide variety of contracts, agreements, and related matters
- Counsel leadership and General Counsel on legal operation projects
- Advising on contract status, legal risks and the legal liabilities associated with different deals
- Perform cross-functionally across organization to manage different projects and execution of new initiatives
- Help design, build and improve Vindex’s legal department process and procedures
- Regularly monitor compliance and stay abreast of trends impacting the business
Qualifications
- 4+ years of relevant experience at a top tier law firm or in-house corporate legal department; Substantial corporate law and public/SEC compliance experience
- JD and membership in good standing in at least one state bar (NY)
- Strong working knowledge of complex corporate transactions, general corporate law, capital markets activity and corporate governance, public and private M&A experience.
- Experience managing outside counsel relationships
- Highly organized, able to manage and prioritize multiple projects at once
- Highly comfortable working across-functionalities/businesses
