What We’re Looking For:

This Counsel position will be an integral part of a lean legal team that advises and supports Skillz as a new public company. In this role you will provide advice regarding proper corporate governance, prepare the company’s SEC filings and public disclosure documents; play a key role in the company’s annual/quarterly earnings announcements; lead compliance with NYSE listing rules; support our annual meeting of stockholders; support and advise the company’s Investor Relations and Communications teams; and monitor and analyze regulatory developments and implement changes as appropriate. In this Counsel position you will work with our senior executives and Board report to the Vice President of Legal.

What You Will Do:

  • Draft, review, advise on and submit SEC filings
  • Advise on compliance with NYSE listing standards and handle NYSE submissions
  • Support our public company secretarial function, including assisting with the preparation for board and committee meetings and the planning of our annual meeting of stockholders
  • Assist with capital market transactions
  • Work closely with our Investor Relations team regarding public company communications, including press releases, investor presentations, earnings announcements and other disclosures
  • Work closely with Skillz’s stock administration team on equity administration and assist with administering our Insider Trading Policy, 10b5-1 plans and related employee and director equity matters, including our employee stock purchase and repurchase programs
  • Provide advice regarding our compliance with the Securities Act of 1933, the Securities and Exchange Act of 1934, Regulation FD and Sarbanes-Oxley

Your Skillz:

  • J.D. degree from an accredited law school
  • 6+ years experience and proven success advising public-company clients at a major law firm and/or in an in-house position with a publicly-traded company
  • Desire to develop knowledge of Skillz’s business in order to provide specific advice that balances legal obligations and business goals
  • Collaborative and hard-working team member who thrives in a dynamic and fast-moving environment
