Nerd Street Gamers provides an opportunity for gamers to gain experience in competitive esports competitions, and they also are home to a community of like-minded amateur competitors.
As Counsel, you would report directly to General Counsel and be responsible for a wide range of legal matters in the fields of corporate governance, commercial contracting, securities, intellectual property and labor and employment. A successful candidate will be able to demonstrate enthusiasm, diligence and an eagerness to learn.
Essential Job Functions
- Commercial Contracting Draft, negotiate and review a range of commercial contracts and coordinate with business and accounting teams on contract management
- Corporate Governance Assist with all governance matters including board and stockholder communication and corporate filings; assist with exempt offerings and manage federal and state securities filings and blue sky research
- Intellectual Property Coordinate with outside counsel in managing company’s trademark portfolio, implementing updates to privacy policies and coordinating with business teams regarding update
- Labor and Employment Coordinate with human resources and outside counsel on updates to policies and procedures; and coordinate compliance tracking/reporting
- Operations Coordinate with General Counsel in establishing policies and procedures to support evolving business operations
- Legal Research Conduct legal research on emerging issues and monitor industry developments
Requirements
- Experience with commercial contract drafting and review
- Strong organizational skills and attention to detail
- Willingness to learn about and tackle projects on a range of legal issues
- High degree of professional ethics and integrity
- Excellent judgement and analytical skills
- First class interpersonal and communication skills
- Ability to anticipate emerging legal issues or risks
Education And/or Experience
- J.D. degree; Admitted (or eligible for admission without examination) to practice in Pennsylvania
- Experience practicing for at least 3-4 years after graduation
- Preference given to candidates with a background in one of the following areas securities law, intellectual property/licensing, labor and employment law, gaming law
- Required Experience independently drafting and revising commercial contracts
