THE OPPORTUNITY

The Paralegal is responsible for providing support in contracts, research, records management, and attorney assistance in the legal department at San Diego reporting to the General Counsel, this position will be responsible for:

Contract Management

  • Administration of and responsibility for contract management software (experience with Conga/Novatus preferred)
  • Manage the administration of contracts, such as requests, finalization and signatures, and term expirations
  • Oversee, maintain, and improve contract workflows
  • Identify, summarize, and enter key contract terms and conditions for all contracts to ensure accuracy of the contract database
  • Organize and maintain contract database and files

Drafting

  • Draft basic contracts such as NDAs and consulting agreements with attorney supervision
  • Prepare annual corporate filings
  • Assist in the formation and dissolution of corporate entities in applicable jurisdictions
  • Prepare and edit correspondence regarding contracts with counterparties

Research and Records Management

  • Assist in due diligence reviews for corporate transactions, including organization of data rooms
  • Maintain corporate recordkeeping for Daybreak and its subsidiaries
  • Coordinate and assist with equity and option administration
  • Improve and automate processes where needed to improve the Legal Department's efficiency

Attorney Assistance

  • Track and calendar third party inquiries, disputes, and Legal Department deadlines
  • Monitor and process the Legal Department's invoices and expenses
  • Interface between company departments and Legal Department
  • Serve as a helpful resource for company processes and procedures
  • Obtain notarized signatures

Other Criteria

  • Qualifications
    • Bachelor's degree and/or paralegal certification
    • Knowledge of legal terminology, practices, and principles
    • Ability to prioritize, manage, and meet project deadlines in a fast-paced environment
    • Outstanding communication skills
    • Strong organizational skills and attention to detail
    • High degree of initiative and ability to work independently, while also able to work together with small team of attorneys
    • Ability to collaborate and build relationships with cross-functional teams
    • Experience with Novatus/Conga Contracts software preferred
    • California Notary preferred
